An option pool is a reserved pool of company equity set aside for employee stock options. Typical size: 10-20% of fully-diluted shares pre-financing. The pool refresh — expanding the pool to meet hiring needs — is often included in funding round dilution (and effectively comes out of founders' equity, not investors'). Investors negotiate option pool size during term sheet to protect their ownership from later dilution. Strike prices set at 409A fair market value at grant date. Vesting typically 4 years with 1-year cliff. Strategic option pool sizing balances attracting talent with founder dilution.
