Pro Rata Rights

Pro rata rights (also called preemptive rights) give existing investors the option to purchase their proportional share of any new financing round to maintain their ownership percentage. Important for VCs who want to follow winners and avoid dilution as portfolio companies raise more capital. Pro rata isn't automatic — investors must actively exercise rights within tight windows (typically 10-30 days). Strong investors with deep follow-on capacity preserve their stakes through multiple rounds; weaker investors get diluted. Founders should negotiate pro rata terms carefully — broad pro rata can crowd out future strategic investors. Super pro rata (rights to MORE than current share) is sometimes negotiated by lead investors.
